2. Service Usage and Intellectual Property Rights

Prohibited behavior includes harassing or causing distress or inconvenience to any person, transmitting obscene or offensive content, disrupting the normal flow of dialogue within our services, and attempting to gain unauthorized access to our systems. All custom AI agents, workflows, and intellectual property created by Agentio Labs Ltd remain our property unless otherwise specified in a written agreement. You retain ownership of your data and business processes provided to us, but grant Agentio Labs Ltd a license to use such information solely for the purpose of designing, deploying, and maintaining your AI solutions.

• Reverse engineering, decompiling, or attempting to derive the underlying algorithms, source code, or proprietary methods of our AI agents without explicit written permission.
• Using our services to develop competing AI solutions, train alternative models, or extract our intellectual property for unauthorized commercial purposes.
• Accessing, modifying, or interfering with our systems, networks, or data; attempting to bypass security measures; or engaging in any form of unauthorized system access or data breach.

3. Disclaimer and Limitation of Liability

Agentio Labs Ltd provides its services on an 'AS IS' and 'AS AVAILABLE' basis. We make no warranties, express or implied, regarding the accuracy, reliability, completeness, or fitness of our AI agents for any particular purpose. While we strive to ensure optimal performance and decision-making support, AI systems may contain errors, and we cannot guarantee uninterrupted service or error-free operation. To the maximum extent permitted by law, Agentio Labs Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility of such damages. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

4. Governing Law, Modifications, and Contact Information

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales, and you irrevocably submit to the exclusive jurisdiction of the courts located in London, United Kingdom. Any legal action or proceeding arising under these terms shall be brought exclusively in such courts, and you consent to the personal jurisdiction and venue of such courts.
